Relationship of the parties (ie. the SEO is hired an an independent contractor, not an employee)
Responsibilities of the client, including providing materials, copy, logins, etc., and by what date
Who owns the copyright and intellectual property rights
Option for the client to purchase an extended license for a set fee
Ability for the SEO to use photos of the clients project for use in online advertising
Agreement to give the SEO creative license
Ability for the SEO to take on other business activities and clients during the agreement
What happens and what reimbursement is required if the client terminates the agreement
What happens if the SEO is incapacitated and unable to perform the services
Standard legal clauses including: Representations and warranties, confidentiality, limitation of liability, dispute resolution, compliance with law, amendments, waiver, notice, indemnification, merger, and force majeure
