Clear expectations around Pinterest growth, including exclusions for the client to terminate the agreement due to a lack of growth during a defined time period
If working on an hourly basis, the ability or inability for the client to roll over hours from one month to the next
Requirements of the client, including providing graphics, website content, etc.
Which account login information and materials are required to be provided by the client and by when
If the client has control over how you perform the services
Length and duration of the agreement
What happens when the client doesn’t cooperate or provide necessary logins/materials on time
How many consultations are included and how they will take place
Price of the Pinterest Management services
Methods of payment accepted
Payment policies (initial payment, retainer/deposit, final payment, refunds, etc.)
What happens if the situation arises of a late payment
What happens if you incur an expense when working on a client’s Pinterest account
Policies around rescheduling, cancellations and early termination fees, including what happens when the client vs. the Pinterest manage wishes to cancel
Agreement on exclusivity, that the client will not hire any other service provider to provide the same service
Definition of the relationship of the parties, that the Pinterest Manager is an independent contractor and not an employee
Who owns the copyright and intellectual property rights
Agreement to give the Pinterest Manager creative license
Ability for the Pinterest Manage to take on other business activities and clients during the agreement
Standard legal clauses including: Representations and warranties, confidentiality, limitation of liability, dispute resolution, compliance with law, amendments, waiver, assumption of risk, indemnification, merger, and force majeure
