Section 1: Using the Foundry™ Contract Builder

Welcome to Section 1 of the agreement! In this section, you will establish the foundational elements to ensure your contract is legally binding and tailored to your unique business needs.

This section serves as a preface and guides you through the process of gathering and entering important details to ensure your final contract is complete and enforceable.

Each Creative Law Foundry™ contract is built with a sequence of interconnected sections. The information you provide in this introduction will automatically populate subsequent sections, streamlining the process and ensuring consistency throughout the document.

Question: What is the one-word descriptor for the type of work to be provided under the Agreement?

This will be the term used to describe the Vendor's role throughout the contract, and you can always change it later. For example, if you're an independent contractor, type in "Contractor".

Depending on what contract you are starting with (independent contractor, photographer etc.), we are going to start by identifying what type of work is going to be created under the agreement.

Contract Parties

Question: Is this Agreement for an event, such as a wedding?

For example, will the vendor be providing the services within this Agreement for a wedding, party, etc? (If you are providing ongoing support that will produce a project, such as a website launch, this does not mean “event”. “Event”, as used here, typically means a wedding or specific event).

This is very important because this question triggers several modifications for the remaining sections. 

For example, let's say you're a stylist and you're being hired by a wedding planner as an independent contractor. The type of work that you're providing for the wedding planner is as a stylist before or on the day of the event, then technically the agreement is for an event because the services are going to be performed for a wedding. 

In that case, I would select yes and then insert the date of the event in the next question. 

If you selected “Yes” above, you will now see the following question:

What is the date of the wedding or event?

This is the date of the event, NOT the date that you are signing the Agreement. If the event date changes later, the Parties can amend the agreement and agree to the new date.

If this contract isn’t being created for a specific client, you can add a fake date or XXX as a place holder. 

If you selected “No” above, you will now see the following question:

Question: What type of project is this agreement for?

Such as "Wedding", "Calligraphy", etc. For example, you are filling out this sentence: The Calligrapher agrees to provide Calligraphy services relating to Client’s wedding, hereby referred to as the Calligraphy (“Project”). A one-word descriptor is just fine!

Client details and jurisdiction

Question: Vendor is a _______ (for example, "Photographer")

The Vendor is the service professional providing services for the Client. Provide the one-word descriptor of the type of work being performed. For example, if this is an Independent Contractor agreement, state "Contractor". If a Photography agreement, state "Photographer". Here is an example of how it will appear in a sentence: 

"Contractor  and Client are collectively known as the “Parties”.

Question: Is the Vendor is an individual or business owner?

If the Vendor has an LLC, Corporation, or other business, select "business owner". If the Vendor is a sole proprietor, select "individual".

Question: What is the Vendor's business name?

For example, Paige Hulse LLC dba The Creative Law Shop. This information will only appear in the introductory paragraph of the contract.

Question: Address of the vendor (street, city, state, zip)

If you operate a non US-based business, please write the full address of your business as reflected on your entity documents.

If you selected “Business Owner” above, you will now see this question:

Question: The Vendor's company is a [State] [Type of entity]

For example, an "Oklahoma Limited Liability Company" or "UK LTD Party"

Question: Is the Client is an individual or business owner?

Select "business owner" only if the Client is hiring the Vendor to provide services for the Client's business. For example, if a business owner is hiring a Photographer to shoot their wedding, the correct answer would be "individual", since the Client is hiring the Photographer for his or her wedding, rather than for his or her own business purposes, such as a branding shoot.

Question: What is the Client's name?

First and last name. If the Client is a business owner, list the Client's business name (such as "The Creative Law Shop, LLC"). 

Question: Address of the client.

Addresses: List the street address, city, state, and zip of the client.

If you selected “Business Owner” above, you will now see this question:

Question: The Client's business entity is a [State] [Type of Entity]

For example, an "Oklahoma LLC" or "UK Ltd. Party".


Client details and jurisdiction

Question: This Agreement is being entered into on ________(day, month, year). This is known as the “Effective Date” of the Agreement

Date of Agreement: The Effective date is the date that the contractual obligations begin, not the date of the completed project or event.Typically, this is the date that the last of the two parties sign the agreement, unless the Parties are executing this agreement prior to the services beginning. For example, are you sending the client this agreement early, intending for the agreement to begin a month from now? Or, do you intend to start these services immediately after this agreement is signed?

Technically, the date that the contract should be considered effective is the date of the last of the two parties to sign the agreement. However, if you do want to, there are a couple ways that you can go about this. 

I'm recording this video on May 28th. If I'm preparing this agreement, knowing that I want it to go into effect on June 13th, then I can pre-prepare the contract to be effective on a date in the future. And of course, services would not start until that date.
